1. Who you are contracting with
MEDHAS is operated by LiveSloka International Private Limited, a company incorporated in India under CIN U80902TG2021PTC156732, with its registered office at Plot No 56, H.No 2-158, Kesava Reddy Nagar Colony, Meerpet, Hyderabad, Telangana 500097, India. In these terms, “we”, “us” and “LiveSloka” mean that company.
“You” means the clinic, hospital, practitioner or organisation that holds the subscription, together with everyone you authorise to use the workspace. If you accept these terms on behalf of an organisation, you confirm you are authorised to bind it.
2. What the service is — and is not
MEDHAS is practice-management and clinical-intelligence software. It stores and organises records you enter, and presents trends, comparisons and summaries derived from them.
MEDHAS does not practise medicine. Nothing the platform displays — including any trend, comparison, research output or AI-generated summary — is medical advice, a diagnosis, or a prescription. It is decision support. The treating clinician remains solely responsible for every clinical decision, for verifying anything the platform suggests against the patient in front of them, and for complying with the standards of their own council and system of medicine. Never rely on the platform in an emergency.
Outputs generated with the assistance of artificial intelligence may be incomplete or wrong. They must be reviewed by a qualified practitioner before being acted on or entered into a patient’s record.
3. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into a contract in India.
- Clinical features are for qualified practitioners and the staff they supervise. You are responsible for holding the registrations and licences your practice requires.
- You must give accurate registration details and keep them current.
- You are responsible for every action taken under your logins, and for keeping passwords confidential. Tell us at once if you suspect unauthorised access.
4. Subscription, trial and fees
- A new workspace gets a 30-day free trial. No card is required and nothing is charged when the trial ends.
- Subscriptions are billed per doctor, monthly or annually, at the rates published on our pricing page, which forms part of these terms.
- Subscriptions renew automatically at the end of each cycle unless cancelled. You can cancel yourself from the doctor portal at any time.
- Prices are the final amounts payable. LiveSloka is not GST-registered at present; if that changes, tax will be added to future invoices and shown separately, and you will be told before your next renewal.
- We may change prices with at least 30 days’ notice by email. A change never affects a cycle you have already paid for. If you do not accept a new price, cancel before the renewal.
- If a payment fails, we will retry and notify you. We may suspend access if a subscription stays unpaid more than 14 days past its due date.
Cancellations and refunds are governed by our cancellation and refunds policy.
5. Your data stays yours
All patient records, prescriptions, clinical notes, inventory and billing data you put into MEDHAS remain your property. We claim no ownership of them. We process them only to provide the service to you, as described in our privacy policy.
For patient data, you are the data fiduciary and we act as your data processor. You are responsible for having the consent and legal basis you need to collect and store the patient information you enter, and for the accuracy of what you enter.
We may use aggregated, de-identified information — from which no patient, practitioner or clinic can be identified — to operate, secure and improve the platform. We do not sell your data, and we do not sell or share identifiable patient data with anyone.
6. Your licence to use the platform
While your subscription is current and paid, we grant you a non-exclusive, non-transferable, revocable right to use MEDHAS for your own clinical practice. The software, its design, its content and its underlying intellectual property remain ours.
7. What you must not do
- Share logins between people, or resell, sublicense or rent access.
- Copy, decompile, reverse-engineer or attempt to extract the source code, or build a competing product from the platform.
- Upload malware, attempt to breach security or access another clinic’s workspace, or scrape the platform by automated means outside our published API.
- Enter data you have no right to hold, or use the platform for anything unlawful or for a purpose that would breach medical-council rules or advertising restrictions.
- Place a load on the service designed to degrade it for others.
We may suspend or terminate an account that breaches this clause, with notice where it is practical to give it and immediately where it is not.
8. Availability and support
We aim to keep MEDHAS available at all times but do not guarantee uninterrupted service. Planned maintenance is announced in advance where we can. We are not liable for downtime caused by events outside our reasonable control, including failures at hosting, network or payment providers.
Support is by email at [email protected] and by phone on +91 83093 41208 during Monday to Saturday, 10:00 – 18:00 IST.
9. Third-party services
We rely on third parties to run the platform — cloud hosting and database providers, a payment gateway, and AI model providers for the assistive features. Their handling of data is described in our privacy policy. We are not responsible for a third-party service’s own terms or for content you access through a link out of the platform.
10. Ending the agreement
- You may cancel at any time from the doctor portal. Access runs to the end of the cycle you have paid for.
- We may terminate for a material breach of these terms, for non-payment, or if required by law, giving you notice and a chance to fix the problem where the breach can be fixed.
- After termination, you can export your data for 30 days. After that we delete or irreversibly anonymise it, except where law requires us to keep it. Ask us in writing if you need an export.
11. Warranties and liability
The platform is provided “as is”. To the extent Indian law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We are not liable for indirect, incidental or consequential loss, for lost profits or goodwill, or for any clinical decision taken by you or your practitioners. Our total liability for any claim arising out of or connected with these terms is limited to the subscription fees you paid us in the twelve months before the claim arose.
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by our negligence.
12. Indemnity
You will indemnify us against claims arising from data you entered without the right to do so, from your breach of these terms or of any law applicable to your practice, and from clinical decisions taken by you or your practitioners.
13. Changes to these terms
We may update these terms. For material changes we will give at least 30 days’ notice by email or an in-app notice before they take effect. Continuing to use the platform after that means you accept them. The date at the top of this page always shows the current version.
14. Governing law and jurisdiction
These terms are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute. Before going to court, please write to us — most problems are settled faster that way.
15. General
If any clause is held unenforceable, the rest stands. Our not enforcing a right on one occasion does not waive it. You may not assign these terms without our written consent; we may assign them to a successor of our business. These terms, together with the pricing, privacy, refunds and delivery pages, are the whole agreement between us.
